What
has been clear over the past few years is that expansion in
bank powers will be at the holding company level as opposed to
the bank level.
That’s why many SF&T clients have either
formed or reorganized into a holding company structure.
A holding company structure provides increased
flexibility and can be a source of strength to support its
subsidiary institution (e.g., by providing easier access to
the capital markets).
Additionally, depending on your choice of state law for
incorporation, the holding company can provide greater
flexibility in corporate governance matters (e.g., broader
indemnification powers, stockholder notices and the like).
More importantly, a holding company formation or
reorganization can be a straight-forward, quick and
inexpensive undertaking.
