  • Represented Community Credit Union ($1.3 billion in assets) and OmniAmerican Credit Union ($1.2 billion) in their conversions from Texas-chartered credit unions to federal savings banks.
  • Represented Heritage Financial Group, Inc. in its second step conversion raising $66 million.
  • Represented Sunshine Financial, Inc. in its mutual to stock conversion raising $12 million.

  • Represented Think Federal Credit Union ($1.3 billion in assets) in its conversion from a federally chartered credit union to a federal savings bank.
  • Represented most of the credit unions that converted to a Federal or state thrift charter in their charter conversions.
  • Since 1969, we have acted as counsel for both buyers and sellers in over 300 merger and acquisition transactions totaling in excess of $25 billion in deal value. Recently we have actively assisted clients in designing bids for acquirers of failed banks, representing bidders in 42 failed bank transactions. Our clients were the winning bidder in 16 of those transactions totaling in excess of $5.0 billion in asset value with the resulting FAS 141(R) gain being in excess of $300 million.
