SF&T
represents companies in initial public offerings, secondary
offerings, rights offerings and private placements of equity
and debt securities. Our
services include the representation of clients before the U.S.
Securities and Exchange Commission (SEC) and state securities
administrators, the filing of all Forms with the SEC (e.g.,
Form S-1, SB-2, S-8, etc.), negotiation of agreements with
underwriters, consultants and other service providers, as well
as the preparation of the offering document (prospectus).
On
an on-going basis, SF&T represents clients in
connection with the preparation and filing of reports to the
SEC (e.g., Forms 3, 4, 5, 8-K, 10-Q, 10-K, 13Dand 13G) as well
as proxy statements and annual reports to stockholders.
